WEALTHTECHNICAL EOD DOWNLOADER - TERMS OF USE AND DISCLAIMER ======================================================================== Please read these Terms of Use and Disclaimer (the "Terms") carefully before using the WealthTechnical EOD Downloader (the "Software"), published by WealthTechnical LLP, India ("WealthTechnical", "we", "us"). By installing, opening or using the Software you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not install or use the Software. About WealthTechnical ------------------------ WealthTechnical LLP is a technology-driven financial analytics and software firm focused on market intelligence, data engineering, and research automation. WealthTechnical develops software tools; it is not a stock broker, data vendor, investment adviser or research analyst. 2. The Software is a tool only (middleware) ------------------------------------------- The Software is a free, client-side utility that runs only on your own computer. At your request it connects your computer directly to the public websites of the National Stock Exchange of India Ltd (NSE) and BSE Ltd (BSE), downloads the files those exchanges publish, and converts them into formats readable by charting software. The Software is middleware: it does not sell data and is not a data service. WealthTechnical is neither a distributor nor a host of market data. WealthTechnical does not store, host, sell, license, publish or redistribute any market data, and no market data passes through any WealthTechnical server. 3. Your data, your responsibility --------------------------------- Market data obtained with the Software is procured by you, directly from the exchanges' websites, for your own personal use. You are solely responsible for obtaining the data, for complying with the terms of use of the NSE and BSE websites and of any other source, and for verifying the data before you use it. The data is for personal, non-commercial and educational purposes only. You must not redistribute, sell, sub-license, host, publish, broadcast or otherwise make available to any other person any data obtained with the Software, in original or converted form, whether free of charge or for payment. 4. Exchange disclaimer ---------------------- NSE and BSE are the owners of the data they publish. WealthTechnical is not affiliated with, sponsored, authorised or endorsed by NSE, BSE or any other exchange, and is not an authorised data vendor of any exchange. The exchanges provide their data "as is". Neither the exchanges nor WealthTechnical guarantee the accuracy, completeness, timeliness or availability of the data, and the exchanges may change, delay or withdraw their files at any time. Exchanges' names, indices and trademarks belong to their respective owners. 5. No warranty - the Software can make mistakes ----------------------------------------------- The Software is provided free of charge "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including any warranty of accuracy, merchantability, fitness for a particular purpose or non-infringement. The Software can make mistakes. Downloads may fail or be incomplete; adjustments for splits and bonuses (dividends are not adjusted), symbol changes, indices, data checks and any other processing may be wrong or missing; exchange file formats may change without notice. Always verify important figures against an official source before relying on them. 6. Not investment advice - SEBI clause -------------------------------------- WealthTechnical is not an investment adviser. WealthTechnical LLP does not act as an investment adviser or research analyst and does not provide investment advice, research reports, recommendations, tips, portfolio management or any other service regulated by the Securities and Exchange Board of India (SEBI). Nothing in the Software, its documentation, videos, messages or any communication from WealthTechnical is, or should be read as, an offer, solicitation or recommendation to buy, sell or hold any security or financial instrument. Limitation of liability -------------------------- To the maximum extent permitted by law, WealthTechnical LLP, its partners, employees and contributors shall not be liable for any direct, indirect, incidental, special, consequential or punitive loss or damage, including trading or investment losses, loss of profit, loss of data, or business interruption, arising out of or in connection with the use of, or inability to use, the Software or any data obtained with it, even if advised of the possibility of such loss. 8. Indemnity ------------ You agree to indemnify and hold harmless WealthTechnical LLP, its partners and employees from any claim, demand, loss or expense, including legal fees, arising from your use of the Software, your use or redistribution of any data, or your breach of these Terms or of any exchange's terms of use. 9. Third-party software, NinjaTrader and referral links ------------------------------------------------------- The Software creates files for third-party programs such as NinjaTrader, MetaStock and AmiBroker. These are products of their respective owners, used under their own licences; their names and trademarks belong to their owners. WealthTechnical is an ecosystem vendor of NinjaTrader Group, LLC, USA. The "Get NinjaTrader 8 FREE" link in the Software is a referral link: WealthTechnical may receive a referral benefit if you sign up through it, at no extra cost to you. Your use of NinjaTrader is governed solely by NinjaTrader's own terms; plans, prices and features are set by NinjaTrader and may change. Trading futures, options and other leveraged products involves substantial risk of loss. 10. Privacy and data sent by the Software ----------------------------------------- Your market data and files never leave your computer. Once a day the Software downloads two small files from wealthtechnical.com (new version information and messages to users). To count its users, the Software sends an anonymous install ID (a one-way code derived from your computer's identifier, from which the identifier cannot be recovered), the Software and Windows version, the date of first use, the exchanges and formats you select, and whether the automatic update is on - on the first run and once a day. No name, e-mail address, files or market data are sent. You can switch this off at any time in Settings. E-mails you send us through Write / suggest are sent by you, from your own e-mail account. 11. Updates and changes ----------------------- WealthTechnical may update, change, suspend or discontinue the Software, or these Terms, at any time without notice. Changed Terms are shown in the Software and must be accepted again before further use. 12. Governing law and jurisdiction ---------------------------------- These Terms are governed by the laws of India. Subject to applicable law, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Software. 13.
